Kaplan: Andrew, Tell us about your background and your practice at Brown Rudnick.
Sherman: I am a co-chair of the Emerging Growth Companies and Venture Capital Practice with two of my colleagues in New York and Boston. It is both a company-side and a capital-side practice so we were on both sides of a transaction. We are also very active in our M&A and I have a subspecialty in franchising and intellectual property.
